These Terms govern your use of the Ciclonex website and ordering channels (together, the “platform”) and any purchase you make from Ciclonex (“Ciclonex,” “we,” “us,” or “our”). The platform means this website and the channels we use to quote and process your orders — it is not a self-service ordering portal. Ciclonex sells on a business-to-business, wholesale basis only. By applying for an account, requesting a quote, or placing an order, you agree to these Terms.
Ciclonex sells only to approved trade dealers — shops, distributors, and other businesses in the trade. We do not sell to consumers. You must be acting on behalf of a registered business to buy from us.
You must apply for a dealer account and be approved before you can purchase. You agree to provide accurate business information and to keep it current — including any change of ownership, address, or tax registration. You are responsible for orders placed in your account's name by anyone you authorise to deal with us, and you should tell us promptly if someone is no longer authorised. We may approve, decline, suspend, or close accounts at our discretion.
Our prices are wholesale prices intended for the trade, and are not published on the catalog. We quote them to approved dealers on request. Prices may change at any time and are not guaranteed until confirmed in a quote or order acknowledgement.
A quote is an estimate based on the information available at the time. Quotes are subject to confirmation and may change due to availability, currency, freight, duties, or other factors. An order is binding only when we confirm it.
Some products are subject to minimum order quantities (MOQs), shown on the product or quote. Orders below the MOQ may not be accepted, or may be subject to different pricing.
You may place an order by confirming a quote we have issued, or by sending us a purchase order against a confirmed quote — by email, WhatsApp, or the request form on this site. We will acknowledge accepted orders. We may decline or cancel an order — for example, due to stock, pricing errors, or credit concerns — and will notify you if we do.
Unless your quote or order states otherwise, prices do not include taxes, import duties, customs fees, or similar charges. You are responsible for any taxes, duties, and fees levied in the destination country.
Orders are consolidated at our facility in the Colón Free Zone, Panama. Unless your quote or order acknowledgement states otherwise, we sell EXW Colón Free Zone (Incoterms® 2020): we make the goods available to you, packed and marked, at our facility, and you arrange and pay for collection, export clearance, freight, insurance, and all onward transport.
Title and risk of loss pass to you when the goods are placed at your disposal at our Colón Free Zone facility and we notify you that they are ready for collection. From that point the goods travel at your risk, and we recommend you insure them. Delivery and readiness dates are estimates, not guarantees, and we are not liable for delays caused by carriers, customs, or other parties outside our control.
If we agree in writing to arrange freight on your behalf, we do so as your agent and at your cost and risk; that arrangement does not change the EXW basis of sale unless the quote names a different Incoterm.
Payment terms are agreed per order. The accepted payment methods, any deposit, the balance due date, and any credit terms are stated on your quote or order acknowledgement, or in your dealer agreement. We do not operate a single standard term for all dealers — terms depend on the order, the products, and your account history with us.
Unless stated otherwise, prices, quotes, and invoices are in United States dollars (USD). Where a deposit is required, we begin processing your order once it is received and cleared. Goods are released for collection only after payment has cleared in full, unless we have agreed credit terms with you in writing. Overdue balances may incur charges and may suspend further orders and quotations until settled.
We work to keep product descriptions, specifications, images, and availability accurate, but we do not warrant that all information is error-free or current. If a product differs materially from its listing, contact us before installing or reselling it.
Warranty coverage and the returns process — including eligibility, claim windows, required evidence, and any restocking fees — are set out in your dealer agreement. Because we supply on a wholesale basis to businesses that resell, no consumer right of return applies to purchases from us.
You should inspect goods, and check quantities and condition against the packing list, when you or your carrier collect them. Because we sell EXW (section 8), loss or damage occurring after collection is a matter for your carrier and your insurer, not a warranty claim against us. Shortages or visible damage identified at the point of collection should be raised with us before the goods leave our facility.
Where a product carries a manufacturer’s warranty, we will pass on the manufacturer’s terms and support your claim with the factory where we reasonably can. We do not add a separate Ciclonex warranty beyond what the manufacturer provides and what your dealer agreement states.
To the fullest extent permitted by law, Ciclonex is not liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the amount you paid for the products giving rise to the claim.
Nothing in these Terms excludes or limits liability where the law does not permit it to be excluded or limited — including liability for fraud, wilful misconduct, or gross negligence.
The Ciclonex name, logo, site content, and platform are the property of Ciclonex or its licensors. You may not copy, reuse, or distribute them without our written permission. Product brand names belong to their respective owners.
These Terms are governed by the laws of the Republic of Panama, without regard to conflict-of-law rules. Any dispute will be subject to the jurisdiction of the competent courts of Panama, unless otherwise agreed in writing.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to sales under these Terms.
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the platform or placing of orders after an update means you accept the revised Terms.
